Terms & Conditions

These Terms and Conditions ("Terms") govern the provision of property consultancy services by opmodal ("we", "us", or "our") to clients ("you" or "your"). By engaging our services, you agree to be bound by these Terms.

1.Our Services

opmodal provides a range of property consultancy services, including but not limited to property valuations, market analysis, investment advice, property management, and related consultancy services.

2. Engagement and Scope of Work

2.1. Our engagement will commence once you accept our proposal or contract, and we have confirmed acceptance in writing.

2.2. The scope of work will be outlined in our agreement or contract with you. Any changes to the scope must be agreed upon in writing by both parties.

3. Fees and Payment

3.1. Fees for our services will be outlined in our agreement or contract and are subject to VAT at the prevailing rate, where applicable.

3.2. Payment terms will be specified in our invoice. Payment must be made within [30 days] of the invoice date unless otherwise agreed in writing.

3.3. If payment is not received by the due date, we reserve the right to charge interest on overdue amounts at the rate of 70% per annum above the Bank of England base rate until payment is made in full.

4. Your Obligations

4.1. You agree to provide us with all necessary information, documents, and access required for us to perform our services.

4.2. You warrant that all information provided is accurate, complete, and not misleading.

4.3. You agree to comply with all applicable laws and regulations relevant to your engagement with us.

5. Confidentiality

5.1. We will treat all information provided by you as confidential and will not disclose it to any third party without your prior written consent, except as required by law.

5.2. You agree not to disclose any confidential information about our business, including but not limited to our methods, pricing, and client lists.

6. Liability and Indemnity

6.1. We will use reasonable skill and care in providing our services. However, we will not be liable for any loss or damage that is not foreseeable.

6.2. Our liability for any claims arising out of or in connection with our services is limited to the amount of fees paid by you for the services provided.

6.3. You agree to indemnify us against all claims, costs, damages, and losses arising from your breach of these Terms.

7. Intellectual Property

7.1. All intellectual property rights in materials provided by us remain our property. You are granted a non-exclusive, non-transferable licence to use the materials solely for the purpose for which they were provided.

7.2. You must not reproduce, distribute, or otherwise use our materials without our prior written consent.

8. Termination

8.1. Either party may terminate the engagement by giving 90 days’ written notice to the other party.

8.2. We may terminate the engagement immediately if you breach these Terms or fail to pay any amount due under these Terms.

8.3. Upon termination, you agree to pay for all services provided up to the date of termination.

9. Data Protection

9.1. We will process your personal data in accordance with our Privacy Policy, which is available on our website.

9.2. By engaging our services, you consent to such processing and warrant that all data provided by you is accurate.

10. Dispute Resolution

10.1. In the event of any dispute arising out of or in connection with these Terms, the parties will first attempt to resolve the dispute through negotiation.

10.2. If the dispute cannot be resolved through negotiation, it shall be referred to mediation in accordance with the Scottish Mediation Network's guidelines.

10.3. If the dispute is not resolved within [30 days] of the start of mediation, either party may commence court proceedings in Scotland.

11. Governing Law and Jurisdiction

11.1. These Terms are governed by and construed in accordance with the laws of Scotland.

11.2. Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the Scottish courts.

12. Changes to These Terms

12.1. We reserve the right to update these Terms from time to time. We will notify you of any changes by posting the updated Terms on our website.

12.2. Continued use of our services after any changes to these Terms will constitute your acceptance of the new Terms.
